Terms of Service

Last updated 15 October 2026

1. These Terms

1.1 These terms of service (the Terms) are a legal agreement between Hygge Tygge Ventures Limited, an Irish company (company number 822196) with its registered office at The Studio, Upper Cliff Road, Howth, Co. Dublin, Ireland (Seilfi, we, us or our) and the business that installs or uses the App (the Merchant or you).

1.2 By installing the App from the Shopify App Store, clicking to accept these Terms, or using the App, you agree to these Terms. If you are accepting on behalf of a company or other business, you confirm that you have authority to bind that business, and "you" means that business.

1.3 The App is offered to businesses only. You confirm that you are acting for purposes relating to your trade, business or profession and not as a consumer. If you are a consumer, you must not install or use the App.

1.4 The following documents form part of these Terms and are incorporated by reference: the Data Processing Addendum (Schedule 3); the Acceptable Use Schedule (Schedule 1); and the Support and Service Levels Schedule (Schedule 2). Our Privacy Notice explains how we handle personal data and is not a contractual document except where these Terms say otherwise.

1.5 If there is a conflict between these documents, the following order of precedence applies: (a) the Data Processing Addendum, in relation to the processing of personal data; (b) the main body of these Terms; (c) the Schedules; (d) the App Store listing.

2. Definitions

2.1 In these Terms:

2.2 Headings are for convenience only. "Including" means "including without limitation".

3. Eligibility and account

3.1 To use the App you must either (a) have a valid Shopify store in good standing, in which case the App is installed into that store and operates only in relation to it; or (b) hold an account with us for the standalone edition of the App at my.seilfi.com, in which case the App operates in relation to the workspace created under that account.

3.2 You are responsible for all use of the App under your Shopify store or your workspace, including by your Authorised Users. You must ensure that Authorised Users comply with these Terms.

3.3 The App controls access by account credentials and by per-location passcodes that you set. You must keep both confidential, provide them only to Authorised Users, and change them promptly if you believe they have been compromised or when an Authorised User leaves. You are responsible for all activity carried out under your account. We are not responsible for any loss arising from your failure to keep credentials secure.

3.4 You must provide accurate information when setting up the App, including the email addresses of the people who are to receive reports and alerts, and keep that information up to date.

4. Licence and intellectual property

4.1 Subject to these Terms and payment of the Fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the App during the Subscription Term for your internal business purposes of managing stock, transfers, purchasing and order picking in your Shopify store.

4.2 The App, including its software, design, documentation, the Seilfi name and logo, and the weight-based stock counting method it uses, is owned by us or our licensors and is protected by intellectual property law. Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved. Seilfi is a trade mark of Hygge Tygge Ventures Limited, with trade mark applications pending in the European Union (019394984 and 019395486) and the United Kingdom (UK00004418555 and UK00004418562), and a patent application pending for the weight-based stock counting method.

4.3 You must not, and must not permit anyone else to: (a) copy, modify, translate or create derivative works of the App; (b) reverse engineer, decompile or disassemble the App or attempt to discover its source code or algorithms, except to the extent that applicable law expressly permits this despite this restriction; (c) sell, resell, rent, lease, sublicense or otherwise make the App available to any third party; (d) use the App to build a competing product or service; or (e) remove any proprietary notice from the App.

4.4 If you give us feedback, suggestions or ideas about the App, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation to you.

4.5 We may use aggregated and anonymised data derived from use of the App, which does not identify you, your staff, your store or your products, to operate, analyse and improve the App.

5. Acceptable use

5.1 You must use the App only in accordance with Schedule 1 (Acceptable Use) and applicable law.

5.2 We may suspend or restrict access to the App, with notice where practicable, if we reasonably believe that you or an Authorised User is in breach of Schedule 1 or that continued access poses a risk to the security or integrity of the App, Shopify or any third party. We will restore access once the issue is resolved.

6. Shopify

6.0 This clause 6 applies only where you use the App with a Shopify store. It does not apply to the standalone edition at my.seilfi.com, which operates without Shopify.

6.1 Your use of Shopify is governed by your separate agreements with Shopify. We are not a party to those agreements and are not responsible for Shopify's platform, App Store or Billing service.

6.2 The App depends on Shopify's application programming interfaces and permissions. You authorise the App to access your store with the permissions requested at installation (as at the date of these Terms: read and write products, read and write inventory, read locations, read orders, read and write inventory transfers, read and write merchant-managed fulfilment orders, and read and write fulfilments) and to update stock levels, inventory transfers, fulfilment orders and fulfilments in your store as a result of counts, audits, stock takes, transfers, goods-in and picking carried out through the App. The App holds Level 1 access under Shopify's protected customer data programme and does not request access to customer records.

6.3 We do not control Shopify. Shopify may change, restrict or withdraw its interfaces, permissions or App Store at any time. We will use reasonable efforts to adapt the App to such changes, but we are not liable for any interruption, loss of functionality or loss of data caused by a change made by Shopify or by Shopify's suspension, removal or delisting of the App.

6.4 We comply with Shopify's mandatory privacy webhooks. When you uninstall the App, Shopify sends us a request to delete your store's data 48 hours later, and we act on it as described in the DPA.

7. Plans, fees and billing

7.1 We offer the Plans described in the App Store listing or, for the standalone edition, on the billing page within the App. The features, limits and Fees of each Plan are as displayed at the time you subscribe. Where your use exceeds the number of locations included in your Plan, we will tell you and invite you to move to a Plan that covers it; we will not withhold access to data you have already entered. Accounts with more than ten locations are priced individually and the Fees for them are as agreed between us in writing.

7.2 Where you subscribed through the Shopify App Store, all Fees are billed through Shopify Billing to the payment method held in your Shopify account, and you authorise Shopify to charge the Fees on our behalf. Where you subscribed directly, Fees are billed through Stripe to the payment method you provide, and you authorise us and Stripe to charge them. In both cases payment is taken on the provider's own payment page and we never receive your card or bank details.

7.3 Fees are stated exclusive of value added tax and any other applicable taxes, which will be added where required. For subscriptions taken out directly, VAT is calculated and applied by Stripe on the basis of the billing address and any VAT number you provide, and you are responsible for the accuracy of that information. Where you subscribe through Shopify, Shopify may collect and remit taxes on our behalf in accordance with its own terms.

7.4 Your subscription begins when you accept the subscription charge in Shopify or, for a direct subscription, when your first payment is taken. It renews automatically at the end of each Subscription Term unless you cancel before the renewal date, by uninstalling the App, by cancelling through the billing page, or by changing your Plan.

7.5 Where we offer a free trial it lasts for the period stated at the time you sign up, currently seven days. At the end of the trial your subscription converts to the paid Plan you selected unless you cancel before the trial ends.

7.6 You may upgrade or downgrade your Plan through the App at any time. Upgrades take effect immediately and are charged on a pro-rated basis for the remainder of the Subscription Term in accordance with the billing provider's terms. Downgrades take effect at the start of the next Subscription Term. Features not included in a lower Plan will cease to be available when the downgrade takes effect.

7.7 If a payment fails we will not immediately suspend access: we will tell you and the billing provider will retry. If the Fees remain unpaid 21 days after the due date we may suspend access to the App until payment is received, and if they remain unpaid for a further 14 days we may terminate these Terms under clause 15. Suspension does not delete your data, and we will restore access on payment.

7.8 Fees are non-refundable except where these Terms or applicable law provide otherwise, or where we agree in writing. No refund or credit is given for partial Subscription Terms, unused features or downgrades.

7.9 We may change the Fees for a Plan by giving at least 30 days' notice by email or through the App. The new Fees apply from the start of the next Subscription Term after the notice period. If you do not accept the change you may cancel before it takes effect.

8. Merchant Data and data protection

8.1 You own Merchant Data. You grant us a non-exclusive, royalty-free licence to host, copy, process, transmit and display Merchant Data solely to provide, support and secure the App and as otherwise permitted by these Terms.

8.2 You are the controller of any Personal Data contained in Merchant Data, and we are your processor. Our processing of that Personal Data is governed by the DPA. You must comply with your obligations as controller, including having a lawful basis for the processing, giving your staff appropriate privacy information, and not entering special category data, criminal offence data or payment card data into the App.

8.3 The App is designed to work without your customers' personal details, and pick lists show only the order number, the items and their bin location. If you enter customer personal data into a free-text field of the App, you do so on your own responsibility as controller.

8.4 You are responsible for the accuracy and completeness of the data you enter into the App and of your Shopify store data. In particular you acknowledge that:

(a) stock counts derived by weight depend on the accuracy of your scales, the unit weights and packaging weights you record, and the way your staff use the App;

(b) forecasts and reorder suggestions are estimates based on past sales data in your store and are not guarantees of future demand;

(c) the App updates stock levels, transfers and fulfilment orders in your Shopify store on your instruction, and you remain responsible for your inventory records, your accounts, your purchase orders and supplier relationships, the accuracy of picking and dispatch, and any decision you take in reliance on the App.

8.5 We do not sell Merchant Data, share it with third parties for their own purposes, use it for advertising, or use it to train machine learning or artificial intelligence models.

8.6 We maintain the security measures described in the DPA. You are responsible for the security of your own systems, devices and Shopify account.

9. Support and service levels

9.1 We provide support for the App in accordance with Schedule 2. Response times in Schedule 2 are targets, not guarantees, and do not commit us to resolve an issue within any particular time.

9.2 We do not guarantee that the App will be available without interruption. We may suspend the App for planned maintenance, and will give reasonable notice through the App or by email where practicable, and for emergency maintenance without notice.

9.3 Merchants on the Pro Plan may be offered a separate service level agreement, which will apply in place of Schedule 2 to the extent it so provides.

10. Changes to the App

10.1 We may modify the App from time to time, including by adding, changing or removing features, provided that we do not materially reduce the core functionality of your Plan during a Subscription Term without notice.

10.2 We will give at least 30 days' notice by email or through the App before removing a material feature or withdrawing the App. If we withdraw the App we will refund any Fees paid in advance for the period after withdrawal.

10.3 We may change these Terms by giving at least 30 days' notice by email or through the App. If you do not accept the change you may cancel by uninstalling the App before the change takes effect. Continued use of the App after the change takes effect is acceptance of the change. Changes required by law or by Shopify may take effect on shorter notice.

11. Confidentiality

11.1 Each party shall keep the other's Confidential Information confidential, use it only for the purposes of these Terms, and disclose it only to its personnel, professional advisers and (in our case) Sub-processors who need to know it and are bound by equivalent obligations.

11.2 These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to the receiving party, is independently developed, or must be disclosed by law or by order of a court or regulator, provided that the receiving party gives the other party prompt notice where lawful.

11.3 This clause 11 survives termination for five years, and indefinitely in respect of Personal Data and trade secrets.

12. Warranties and disclaimers

12.1 We warrant that we will provide the App with reasonable skill and care and that the App will perform materially in accordance with its description in the App Store listing. If the App does not, your remedy is for us to use reasonable efforts to correct the non-conformity or, if we cannot do so within a reasonable time, for you to terminate and receive a refund of Fees paid for the period during which the App did not conform.

12.2 Each party warrants that it has the authority to enter into these Terms.

12.3 Except as expressly stated in these Terms, and to the fullest extent permitted by law, all warranties, conditions and terms implied by statute, common law or otherwise, including any implied terms as to satisfactory quality, fitness for a particular purpose and non-infringement, are excluded. In particular we do not warrant that the App will be error-free or uninterrupted, that it is compatible with any particular scale, device or browser, or that any forecast, count or report produced by the App is accurate or complete.

12.4 The App is a tool to assist your stock management. It is not a substitute for your own stock controls, audits or professional advice.

13. Indemnities

13.1 You shall indemnify us against all losses, damages, costs (including reasonable legal costs) and expenses arising from any claim by a third party, including a regulator or a data subject, that results from: (a) Merchant Data, or our processing of it in accordance with your instructions; (b) your use of the App in breach of these Terms or applicable law; or (c) your failure to comply with your obligations as a controller under data protection law.

13.2 We shall indemnify you against all damages and costs finally awarded by a court, or agreed by us in settlement, in respect of a claim by a third party that the App, used in accordance with these Terms, infringes that third party's intellectual property rights in Ireland, the European Union or the United Kingdom. This indemnity does not apply to the extent that the claim arises from Merchant Data, from a modification of the App not made by us, from use of the App in combination with anything not supplied by us, or from use after we have notified you to stop. If a claim is made or is likely, we may at our option procure the right for you to continue using the App, modify or replace it so that it is non-infringing, or terminate these Terms and refund Fees paid in advance. This clause 13.2 is your sole remedy for infringement of third-party intellectual property rights.

13.3 The indemnified party shall promptly notify the other of the claim, give the indemnifying party sole control of its defence and settlement (provided that no settlement imposes obligations on the indemnified party without its consent), and provide reasonable assistance at the indemnifying party's expense.

14. Limitation of liability

14.1 Nothing in these Terms excludes or limits either party's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Irish law.

14.2 Subject to clause 14.1, neither party is liable to the other, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any: (a) loss of profit, revenue, business, sales or anticipated savings; (b) loss of or damage to data (other than our obligations under the DPA to maintain security measures); (c) loss of goodwill or reputation; (d) cost of procuring substitute services; or (e) indirect or consequential loss, in each case whether or not foreseeable and even if advised of the possibility.

14.3 Subject to clauses 14.1 and 14.4, each party's total aggregate liability to the other arising out of or in connection with these Terms and the DPA, in any period of 12 months, shall not exceed the greater of (a) the Fees paid or payable by you in the 12 months immediately before the event giving rise to the claim and (b) €1,000.

14.4 The cap in clause 14.3 does not apply to: (a) your obligation to pay the Fees; (b) either party's breach of clause 11 (Confidentiality); (c) the indemnities in clause 13; or (d) your breach of clause 4.3 or Schedule 1. Liability under the DPA is included within, and not additional to, the cap in clause 14.3.

14.5 You acknowledge that the Fees reflect the allocation of risk in this clause 14 and that we would not provide the App on these terms without it.

15. Suspension and termination

15.1 You may terminate these Terms at any time by uninstalling the App from your Shopify store. Termination takes effect at the end of the current Subscription Term, and no refund is given for the remainder of that term unless these Terms provide otherwise.

15.2 We may terminate these Terms immediately by notice if: (a) you commit a material breach that is not remediable or, if remediable, is not remedied within 14 days of notice; (b) the Fees remain unpaid as described in clause 7.7; (c) you become insolvent, enter into any arrangement with creditors, have a receiver, examiner or liquidator appointed, or cease trading; (d) Shopify suspends or removes the App from the App Store or terminates our right to distribute it; or (e) your Shopify store is closed or suspended.

15.3 We may terminate these Terms for any other reason by giving at least 60 days' notice, in which case we will refund any Fees paid in advance for the period after termination.

15.4 Before uninstalling the App, you should download any reports you wish to keep. Stock valuation, purchase order and business overview reports can be downloaded from the App in CSV format at any time, and your product and stock data remain in your Shopify store. You may also request a copy of your audit and stock-take records under clause 12.1 of the DPA.

15.5 On termination: (a) your licence ends and you must stop using the App; (b) we will delete your Shopify access token immediately; (c) 48 hours after uninstallation Shopify will send us a request to delete your store's data and we will delete all Merchant Data as described in the DPA, except to the extent we are required by law to retain it; and (d) any Fees accrued to the date of termination remain payable.

15.6 Clauses 4.2 to 4.5, 8.4, 11, 12.3, 13, 14, 15.5, 15.6 and 16, and any other provision that by its nature is intended to survive, survive termination.

16. General

16.1 Force majeure. Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including failure of Shopify, a Sub-processor or the internet, provided that it notifies the other party and uses reasonable efforts to resume performance.

16.2 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or to a purchaser of all or substantially all of our business or assets relating to the App, on notice to you.

16.3 Subcontracting. We may subcontract the performance of our obligations, including to Sub-processors in accordance with the DPA, but remain responsible for their performance.

16.4 Notices. We may give notice to you by email to the email address associated with your Shopify store or your Seilfi account, or by a notice displayed in the App. You may give notice to us by email to hello@seilfi.com. Notices are deemed received on the Business Day after they are sent.

16.5 Entire agreement. These Terms, including the Schedules and the documents incorporated by reference, are the entire agreement between the parties in relation to the App and supersede all prior agreements, representations and understandings. Each party acknowledges that it has not relied on any statement not set out in these Terms. Nothing in this clause limits liability for fraud.

16.6 Severance. If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

16.7 Waiver. No failure or delay in exercising any right under these Terms is a waiver of that right.

16.8 Third parties. Except as expressly stated in the DPA, a person who is not a party to these Terms has no right to enforce any of its terms.

16.9 Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.

16.10 Governing law and jurisdiction. These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by the laws of Ireland. The parties submit to the exclusive jurisdiction of the courts of Ireland.
